Geocore Infrastucture Engineers LLC operates within the Computer Systems Design and Related Services industry. Our services include but are not limited to:

• Computer integrated systems design and engineering
• Network architecture, design, and deployment
• Cloud infrastructure engineering and migration
• Data center design, planning, and optimization
• Cybersecurity infrastructure assessment and implementation
• IT strategy, consulting, and technology roadmapping

Specific deliverables, timelines, fees, and responsibilities for each engagement will be defined in separate service agreements or statements of work.

4. Intellectual Property Rights

4.1 Company Intellectual Property

All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, is the property of Geocore Infrastucture Engineers LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The Geocore Infrastucture Engineers LLC name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You may not use such marks without prior written permission.

4.2 Client Materials

The Client retains all rights to pre-existing materials, data, and intellectual property provided to the Company in connection with the Services. The Client grants the Company a limited, non-exclusive license to use such materials solely for the purpose of performing the Services.

4.3 Deliverables

Ownership and licensing of work product, deliverables, or custom developments produced in connection with the Services will be specified in the applicable service agreement. In the absence of a specific agreement, all deliverables remain the intellectual property of Geocore Infrastucture Engineers LLC until full payment has been received, at which point ownership transfers to the Client unless otherwise agreed in writing.

5. Fees and Payment

5.1 Pricing

Fees for Services shall be as set forth in the applicable service agreement, proposal, or statement of work. All quoted prices are in United States Dollars (USD) unless otherwise specified.

5.2 Payment Terms

Unless otherwise stated in the service agreement, payment is due within thirty (30) days of invoice date. Late payments may be subject to interest charges at the rate of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is less.

5.3 Taxes

Client is responsible for all applicable taxes, duties, and governmental assessments related to the Services, excluding taxes based solely on the Companys net income.

6. Confidentiality

Each party agrees to protect the other party's Confidential Information, meaning any non-public information disclosed in connection with the Services, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information includes business plans, technical data, financial information, client lists, projections, and trade secrets. Each party shall not disclose Confidential Information to third parties except as required by law or with prior written consent. This obligation survives termination of the Agreement for a period of three (3) years.

7. Warranties and Disclaimers

7.1 Company Warranties

Geocore Infrastucture Engineers LLC warrants that it will perform the Services in a professional and workmanlike manner consistent with generally accepted industry standards. This warranty applies for a period of ninety (90) days from the date of delivery of the specific Service or deliverable.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 7.1, THE WEBSITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. THE COMPANY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GEOCORE INFRASTRUCTURE ENGINEERS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR SERVICES. THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO THE COMPANY DURING THE SIX (6) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Geocore Infrastucture Engineers LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of or related to your breach of these Terms, your violation of applicable law, or your misuse of the Website or Services.

10. Term and Termination

These Terms are effective upon your first access to the Website or engagement of Services and remain in effect until terminated. The Company may terminate or suspend your access to the Website at any time, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Website ceases immediately. The following provisions survive termination: Intellectual Property Rights, Confidentiality, Warranties and Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

Specific engagements for Services may be governed by separate service agreements executed between the parties. In the event of a conflict between these Terms and a separate service agreement, the service agreement shall control. The Company reserves the right to modify these Terms at any time. Material changes will be posted on the Website with an updated revision date. Your continued use of the Website or Services after changes constitutes acceptance of the modified Terms.

12. Non-Solicitation

During the term of any service engagement and for a period of twelve (12) months following its termination, neither party shall directly or indirectly solicit or hire any employee or contractor of the other party without prior written consent. This restriction does not apply to general advertising or recruitment efforts not specifically targeted at the other party's personnel.

13. Force Majeure

The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of telecommunications or information systems.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration conducted in Salt Lake City, Utah, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties original intent.

16. Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by the waiving party.

17. Entire Agreement

These Terms, together with the Privacy Policy and any applicable service agreements or statements of work, constitute the entire agreement between you and Geocore Infrastucture Engineers LLC regarding the subject matter hereof and supersede all prior agreements, understandings, and representations.
